Terms of Service

1. Acceptance of Terms
By accessing or using Litegrants (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.
You must be at least 18 years old to use the Service.
2. Description of Service
Litegrants is a grant management software platform designed for grantmaking organizations — foundations, corporate giving programs, community foundations, and nonprofit grant administrators. It is not a platform for grant seekers to find or apply for grants independently.
The Service supports the full grant lifecycle: program design, application cycles, reviewer assignments, award management, grantee reporting, and data export. Each subscribing organization is hosted in a fully isolated tenant environment. Your organization's data is never commingled with another organization's data.
The Service is hosted on DigitalOcean App Platform in the United States. We reserve the right to modify, improve, or discontinue features with reasonable notice.
3. Account Registration & Responsibilities
To use the Service, you must create an account and provide accurate, complete information. You are responsible for keeping your account information up to date.
You are responsible for all activity that occurs under your account, including the actions of any team members you invite. Keep your login credentials confidential. If you become aware of any unauthorized access to your account, notify us immediately at [email protected].
Each organization is entitled to one account. You may add unlimited team members within your organization at no additional charge.
4. Subscription & Billing
Pricing
Litegrants is offered at $299 per month, flat. This rate covers your entire organization, all team members, and every feature. There are no per-seat fees, usage-based overages, or upsells.
Five-Year Price Lock
Your $299/month rate is locked for 60 months (five years) from the date your free trial begins. This is a binding commitment. Your price lock is recorded at account creation and appears on every invoice for the duration of your lock period. We will not raise your rate during this window, regardless of future pricing changes introduced for new subscribers.
After your five-year lock period ends, your subscription will continue at the then-current standard rate. We will give you at least 60 days' written notice before any post-lock price change takes effect.
Free Trial
New accounts begin with a 30-day free trial. No credit card is required to start your trial. Your five-year price lock begins on the first day of your trial, not the first day you pay.
Billing & Payment
After your trial ends, your subscription is billed monthly. Payments are processed by Stripe. We do not store your credit card number — Stripe handles all payment data under their own security and compliance standards.
If a payment fails, we will notify you and provide a reasonable grace period to update your payment method before suspending access.
Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period — you retain full access until then.
After cancellation, your data remains available for export for 30 days. During this window you can download your complete grant history in CSV or JSON format. After 30 days, your data is permanently and irreversibly deleted from our systems.
Refund Policy
We do not offer refunds for partial months. Because the Service is month-to-month with no annual commitment, your maximum financial exposure is one billing cycle. If you cancel mid-month, you keep access through the period you've already paid for.
5. Data Ownership & Portability
You own your data. Always. All grant programs, application cycles, applicant submissions, reviewer notes, award records, reports, and any other content you create or upload in the Service belong to you. Litegrants claims no ownership, copyright, or license over your content beyond what is strictly necessary to operate the Service on your behalf.
We will not sell, share, or use your organization's data for any purpose other than providing and improving the Service for you.
Export Rights
You can export your complete grant history — applications, decisions, awards, reports, and all associated data — in CSV or JSON format at any time during your active subscription. Export is available from your account settings with no request or waiting period required.
Following cancellation, you have a 30-day window to export your data. After that window closes, your data is permanently deleted. We are not able to recover data after deletion.
6. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:
- Use the Service for any illegal activity or in violation of applicable law
- Attempt to access another organization's data or circumvent tenant isolation
- Upload malicious code, viruses, or harmful content
- Use the Service to submit fraudulent grant applications or misrepresent eligibility
- Scrape, harvest, or systematically extract data using automated means
- Impersonate another person or organization
- Resell or sublicense access to the Service

7. Intellectual Property
Litegrants owns the platform: its code, design, user interface, documentation, trademarks, and all other intellectual property embodied in the Service. Nothing in these Terms transfers ownership of the platform to you.
You own your content: all grant programs, applications, awards, reports, and other data you create using the Service. By using the Service, you grant Litegrants a limited, non-exclusive license to store and process your content solely to provide the Service to you. This license ends when you delete your content or close your account.
8. Limitation of Liability
To the fullest extent permitted by California law, Litegrants shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, business interruption, or reputational harm — arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.
Our total cumulative liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total fees you paid to Litegrants in the 12 months immediately preceding the claim.
Some jurisdictions do not allow limitations on certain types of liability. In those jurisdictions, our liability is limited to the maximum extent permitted by applicable law.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:
- The Service will be uninterrupted, error-free, or available at all times
- The Service will meet your specific requirements or expectations
- Any errors or defects will be corrected on a particular timeline
- The Service is free from security vulnerabilities (though we take security seriously and disclose incidents promptly)
We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Your data export rights (§5) remain in effect regardless of service interruption — you can always retrieve your data during an active subscription.
10. Termination
By You
You may cancel your account at any time. Cancellation is effective at the end of your current billing period. See §4 for the full cancellation process and the 30-day post-cancellation data export window.
By Litegrants
We may suspend or terminate your account if you materially breach these Terms and fail to cure the breach within 30 days of written notice from us. We may terminate immediately, without notice, in cases of:
- Fraudulent, illegal, or abusive activity
- Deliberate attempts to access or compromise another tenant's data
- Actions that put the security or stability of the Service at risk
If we terminate your account for reasons other than your breach, we will provide a prorated refund for any prepaid period. In all cases of termination, the 30-day data export window described in §4 applies.
11. Modifications to Terms
We may update these Terms from time to time. For material changes, we will give you at least 30 days' advance notice by email to the address on your account. Your continued use of the Service after the notice period constitutes acceptance of the revised Terms.
Price lock protection: The five-year price lock commitment in §4 cannot be modified retroactively for existing subscribers within their lock window. Changes to these Terms do not void or shorten your price lock.
If you do not agree to a material change, you may cancel your account before the change takes effect. We will honor the terms in place at the time of cancellation for any remaining billing period.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Sacramento County, California, and you consent to the personal jurisdiction of those courts.
Before filing any formal legal proceeding, we both agree to make a good-faith effort to resolve disputes by contacting each other directly. Most issues can be resolved quickly — reach us at [email protected].
You and Litegrants each agree to bring claims only in your individual capacity. Neither party will participate in a class action or class-wide arbitration for any claim covered by these Terms.
